d. Under no circumstances is the licensee entitled to participate in advances, guarantee payments or minimum licensing payments that ONErpm may receive in connection with a collection contract, licensing agreement or other composition agreement; if, in the event that these payments are specifically attributable to one or all of the compositions, the proportionate share of the licensee in these payments is credited to the licensee`s account under this regulation. This agreement (the “agreement”) is concluded from the date of your (“licensee”) and Verge Records International, Inc. dba “ONErpm” (“ONErpm”) (“ONErpm”). Activated terms that are not defined differently in the following terms and conditions (“Basic Conditions”) have the meanings assigned to them in Appendix A (“Standard Conditions”) under the following standard conditions. You understand that in deciding on the agreement and/or use of the master privilege management services offered by ONErpm, you agree to be bound by the terms below. If you do not accept this agreement in its entirety, do not accept and/or sign this agreement electronically and do not use ONErpm`s rights headquarters or sales services. The “date” of this agreement is the date on which you first choose or use the management or distribution of ONErpm`s core rights. B. The licensee agrees to be bound by the terms of use of the site (to, the privacy policy (at and other agreements on the Site (s) that apply to the licensee (the “On-site agreements”) since they are modified or updated from time to time on the site (s). This agreement, as well as the agreements on the site, contains all the parties` understanding of the purpose of this agreement and replaces all previous agreements or agreements between the licensee and ONErpm with respect to the purpose of this agreement, if any. This agreement can only be amended by an accepted and/or electronically signed letter. B.

The licensee undertakes to provide ONErpm, its related companies, subpoenas, negotiators and licensees and their directors, officers, shareholders, representatives, employees are free of and against all third-party claims and damages, liabilities, losses, costs and expenses that result, including, but not limited, legal fees and legal costs for an alleged violation or violation of a warranty, warranty or agreement committed by the warranty or in respect of an act, error or omission on the part of the licensee or a person or entity acting on behalf of the licensee. In the event of a claim or appeal, ONErpm has the right to withhold the payment of all funds owed to the licensee for reasonable amounts related to such a claim or legal action until re-study. c. The licensee receives and pays all necessary permissions and licenses in the territory for all content of the licensee (including, but not limited to the musical compositions contained in the masters and videos, unless the third-party platforms are processed and paid directly by the third-party platforms, which the licensee must verify in writing). As a result, the licensee is responsible for all royalties and other revenues collected by artists, auxiliary artists, producers, writers, publishers and other participants in disc licence fees from sales or other uses of masters and videos, including, but not exclusively, all mechanical royalties, to authors and/or publishers of copyrighted musical compositions contained in masters and videos, from sales or other uses of masters and videos, all payments that may be required under collective agreements for masters and videos, as well as any other licensing rights, fees and funds that the licensee must pay in respect of the content , provided that the licensee has verified in writing that the third-party platforms have paid these fees.
